These Terms & Conditions / Terms of Service (“Terms/User Terms”) of (a) use of our website www.interconnectcafe.com (“Website”), or any products or services or information or recommendations in connection with the Application/Products /Services (“Application/Products/Services”) or (b) any modes of registrations or usage of products, including through SD cards, tablets or other storage/transmitting device ("Usage"), are between Ayesha Joshi & Associates (“We/Us/Our”) and its users including consenting parents or guardians/wards(“User/You/Your”).

By visiting the Website or using the Services in any manner, You agree that You have read and agree to be bound by these Terms. If you do not unconditionally agree to all the Terms contained herein, You have no right to use the Website or Services. Access to the Website and use of Services/Products is expressly conditioned upon Your assent to all the Terms herein, to the exclusion of all other terms.

These Terms constitute an electronic record in accordance with the provisions of the Information Technology Act, 2000 and the Information Technology (Intermediaries guidelines) Rules, 2011 there under, as amended from time to time and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.

Please read these Terms (“Terms of Service/ User Terms”), Our privacy policy (“Privacy Policy”) and Community Guidelines (“Community Guidelines/Community Rules”), with respect to registration with us, the use of the Website or Services and the Usage, carefully before using/availing our Website and Services. In the event of any discrepancy/inconsistency between these Terms and any other policies with respect to Website or Services or Usage, the provisions of these Terms read with Privacy Policy and Community Guidelines, shall prevail in entirety, and which are co-terminus with each other for the purposes of applicability and interpretation.

By using/accessing/browsing of Our Application or Website or the Services or products or registration (whether with or without payment/with or without subscription), You are unequivocally consenting to and accepting these Terms and consent to be legally bound by the same.

If you do not agree with the Terms or the Privacy Policy, please do not use the Application or Website or avail the Services or products. Any access to our Services/Application/products through registrations/subscription is non transferable.

Who we are and how our services are funded?

Interconnect Cafe is a Cross-Country / Worldwide Networking Platform for Young Adults.

The Basic Networking Activities are conducted in a weekly Video and Audio Calls (Third-party software used for this activity is Zoom). These 'Networking Cafe Sessions' are divided into two categories/groups -

Youth Cafe - Catering Ages 16, 17 and 18. Registration for these session as to be conducted by a consenting responsible adult. Further minutiae for these sessions can be found on the respective registrations pages, as well as in Community Guidelines, Privacy Policy & Terms of Service.
Grad Cafe - Open to all ages. Preferably catering to 18+ audience (i.e.adults inyour respective countries). Please note: these sessions are not as heavily moderated or recorded, as Youth Cafe Sessions.

We do not charge you (and/or the participating young adult) to use Interconnect Cafe's Networking Cafe Sessions. We work in collaboration with partners that recognize our objective, and as an extension of our network, we may be paid by such reciprocating businesses and/or organizations by sponsoring a session, partnering with us and/or by booking a speaker slot during our networking cafe sessions.

You and by extension, your child/ward/appointee agree to be shown sponsored content and/or partnered advertisements, send promotional emails and/or Communicate with you, either directly or through one of our partners, including but not limited to marketing and promotional information, if you do not agree with these Terms of Service, please do not use/register for the use of the Application/Website or avail our services/products.

This is how we can continue to provide free services/products through our applications/website to our community. We hope you stay with us, and that in our opinion our partners/sponsors products and/or services may be relevant to you and/or your interests.

We may use your personal data to help determine which sponsors/partners to work with. We do not sell/market your personal data to advertisers, sponsors, and/or partners and we do not share information that directly identifies you (such as your name, email address and/or other contact information) with sponsors/partners unless you give us specific permission. Instead, advertisers can tell us things such as the kind (country, average age, gender etc.) of the audience that they want to appear in front of and their business goals, and this does not involve any personal or direct identifiers of the participants/members of this community. We also provide advertisers/sponsors with reports about the performance of sponsored sessions, or speaker sessions with us, this information could be collected through polls or surveys we conduct with the participants on a networking cafe session and/or via email, and through preferences of usage.

Interconnect Cafe, additionally also provides a 'Membership Area' which is open to Only Consenting Adults and/or Youth/Wards under the direct supervision & explicit registration of a consenting responsible adult. You may pay/ be charged for our services or products under this Membership Area - details of which will be disclosed on the appropriate registration & payment pages. We do not directly collect/store your Credit/Debit Card Information. Privacy Policy & Data Collection Policy of respective gateways may be found of their respective company pages, as listed within our Privacy Policy. We do not take responsible for the means or ways they collect, store or use your information.

Audio & Video Data Recording

We reserve the right to record and save videos of sessions for a period of up to Seven (7) calendar days from the date of recording of such session(s). We do this with the sole intent to maintain or regulate safety and solely for security purposes and we will erase these recorded sessions past the seven-day mark.

Please Note: Youth Cafe Networking Sessions' break-out rooms are recorded along with the main room. Grad Cafe Networking Sessions' break-out rooms are not recorded, and hence grievance of such break-out rooms are limited to being addressed within the session itself. The method for in-session addressal is clearly mentioned at the start of each Cafe Networking Session.

You have a period of Seven (7) calendar days to raise any grievance regarding harassment or violations or if someone is not abiding the community guidelines for Youth Cafe & Grad Cafe (Main Room Only) , since the recorded history is maintained only for seven (7) calendar days. If you raise such a grievance within the stipulated time window of seven (7) calendar days, then We shall endeavor to try and resolve such grievance, by highlighting such violation or non compliance to the persons responsible, and report the same to you as expeditiously as possible. You agree and acknowledge that, our endeavor to redress such non compliance or violation by any of the other Users, is solely to ensure compliance of terms/community guidelines, and we are not personally responsible nor liable for any damages/costs/compensation arising out of such violations/non compliances at any point in time, whether during or post use of our Website/Product/Services by You either as a consenting Guardian or Parent or child/ward .

No grievance shall be entertained after the seven (7) calendar day mark.

Please email us a detailed account of the issue to info@interconnectcafe.com within the stipulated period of 7 days.

Upon receiving a legitimate complaint or grievance, we will use our best efforts to redress your issue or remove the parties involved in the issue after at our sole discretion. We shall act on such grievances within a maximum period of 15 days from the date you have raised a complaint or grievance within the identified period of 7 calendar days. However, we are not under obligation to address such grievances and the same will be solely to maintain the safety and wellbeing of the community. Any decision taken by the Interconnect Cafe team shall be full and final and you are disclaimed from raising any challenge/contest/claims there with.

Our Privacy Policy explains how we collect and use your personal data.

Who can use our Website/Application/Services

Persons who are "competent/capable" of contracting within the meaning of the Indian Contract Act, 1872 shall be eligible to register for the Application and all Our products or Services. Persons who are minors, un-discharged insolvents etc. are not eligible to register for Our products or Services.

As a minor if you wish to use our products or services, such use shall be made available to You by Your legal guardian or parents, who have agreed and consented to these Terms. By using the products or Services you warrant that all the data provided by you (Consenting Adult) and of your child/ward (Young Participant) is accurate and complete.

In the event a minor utilizes the Application/Website/Services, it is assumed that he/she has obtained the consent of the legal guardian or parents and such use is made available by the legal guardian or parents. However, if this is not the case, please inform us of this community violation on info@interconnectcafe.com .

If the minor (young participant) are of unsound mind, a sex offender, have a criminal record (whether convicted or tried), drug offender (whether in the past or present or have undergone/undergoing rehabilitation) or we have previously barred the young adults use of our products/services due to violation of our Terms of Service, Privacy Policy and Community Guidelines, you are permanently restrained from using our Website/Application/Services and we are fully disclaimed from any responsibility for any consequence that arises as a result of misuse of any kind of Our Website or application or any of our products or services.

Permissions you give us

You give us the following permissions in Interconnect Cade providing the Services to You:

By agreeing to these Terms, You give us permission to use your personal data to help determine which sponsors/partners to work with, as well as permission to create reports about the performance of sponsored sessions, or speaker sessions with us.
By agreeing to these Terms, You give us permission to use your (You and by extension, your appointee/wards) name and profile picture and information and other sponsored content that we display across our products and services but not limited to marketing material and/or social media promotions, without any compensation or any other benefits to you.
By agreeing to these Terms, You give us permission to maintain recorded audio and video content from networking cafes sessions conducted on Interconnect Cafe via Zoom, for the duration of 7 calendar days and/or longer if the content is under discussion/dispute/contention.
By agreeing to these Terms, You give us Permission to update software that you use or download: If you download or use our software, you give us permission to download and install updates to the software where available.

Limits of using our IP and permissions to use it

We reserve and retain all Intellectual Property Rights in the concept, idea, or content covered by intellectual property rights that we have and make available in our Products/Services. You are prohibited from claiming any Intellectual Property Rights whether copyright or trademark or any other Intellectual Property Rights that we exclusively own, in any of our content/concept/idea without our prior written permission.

You may not post, modify, distribute, or reproduce in any way copyrighted material, trademarks, rights of publicity or other proprietary rights without obtaining Our prior written consent of the owner of such proprietary rights. We may deny access to the Services to any User who is alleged to infringe another party's Intellectual Property Rights.

Third-Party User Terms

Interconnect Cafe's User Terms do not apply to third party user software. Thus, we strongly advise you to read, and understand the User Terms/Privacy Policy of such third party software at present and such other third party softwares that We may use in the future (details of which will be communicated to you from time to time), to know your rights/obligations. We shall not be responsible nor liable for non-compliance of such third party user terms by You or your wards, and by agreeing to these terms, You undertake to stand compliant to such third party user terms without any claims or liabilities to Us at Interconnect Cafe. By agreeing to these Terms, You acknowledge and confirm that You are bound by terms/policies of such third party software at present and such other third party softwares that We may use in the future (details of which will be communicated to you from time to time)

Recommended Safety Guidelines

It is strongly recommended that You do not share your personal information or personal information of your wards with others within or outside of the community except maybe the social media handle i.e. Instagram.

It is further recommended that parents/legal guardians guide/instruct/tutor their kids appropriately on the nature of information to be or not to be shared within or outside the community.

You agree and expressly consent that, We at Interconnect Cafe shall not be liable nor responsible in any manner for any interactions or exchanges that you may have internally within the community or outside of the community for whatever reasons or purpose. It is out of your sole volition that you interact within or outside the community, and despite our recommendations should you share your or your wards information, with others within or outside the community, then we at Interconnect Cafe shall not have any bearing of whatsoever nature, whether it results into any third party claims, damages and/or any other liabilities, and You alone shall be solely responsible for the same.

Restrictive Terms

No user (Young Adult) and Consenting representative/adult shall be permitted to perform any of the following prohibited activities while availing our Services:

Making available any content that is inter-alia misleading, unlawful, harmful, threatening, abusive, tortious, defamatory, libelous, vulgar, obscene, child-pornographic, lewd, lascivious, profane, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
Stalking, intimidating and/or harassing another and/or inciting other to commit violence;
Transmitting material that encourages anyone to commit a criminal offences, that results in civil liability or otherwise breaches any relevant laws, regulations or code of practice;
Interfering with any other person's use or enjoyment of the Application/Website/Services;
Impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity;
Access or use the Application/Website/Services/products in any manner that could damage, disable, overburden or impair any of the Application's/Website's servers or the networks connected to any of the servers on which the Application/Website is hosted;
Intentionally or unintentionally interfere with or disrupt the services or violate any applicable laws related to the access to or use of the Application/Website/Services/products, violate any requirements, procedures, policies or regulations of networks connected to the Application/Website/Services/products, or engage in any activity prohibited by these Terms;
Disrupt or interfere with the security of, or otherwise cause harm to, the Application/Website/Services/products, materials, systems resources, or gain unauthorized access to user accounts, passwords, servers or networks connected to or accessible through the Application/Website/Services/products or any affiliated or linked sites;
Interfere with, or inhibit any user from using and enjoying access to the Application/Website/ Services/products, or other affiliated sites, or engage in disruptive attacks such as denial of service attack on the Application/Website/Services/products; and
Such other acts/activities that are expressly prohibited or barred under the applicable laws.

Additional Terms

1. Updating our Terms

We reserve the right to modify and update these terms from time to time to be commensurate with our sound practices, business policies and/or applicable laws. We undertake to notify you (for example, by email or through our Products) at least 30 days of such changes, unless changes are required by applicable law. Once updated, you will be bound by them if you continue to use our Website/Services/Applications/Products.

2. Service termination

We want Interconnect Cafe to be a place where people feel welcome and safe to express themselves and share their thoughts and ideas. If we determine that you have clearly, seriously or repeatedly breached our Terms or Policies, including our Community Guidelines, we may suspend or permanently terminate your right to use our services/products.

3. No liability/No Warranty

The information, recommendations and/or Services provided to you on or through the Website do not constitute advice. We will endeavour and reasonably keep the Website and its contents correct and up to date but we do not guarantee that the Website/Application or its content is free of errors, defects, malware and viruses or that the Website is correct, up to date and accurate.

In no event will we be liable for any losses arising from or in connection with these User Terms, pursuant to any claim by You against Us under contract, tort or otherwise, if such losses could have been avoided by You using reasonable efforts to mitigate them. Further, We shall also not be liable to You in contract, tort or otherwise for indirect, special, incidental, exemplary, punitive, or consequential damages of any kind whatsoever even if advised of the possibility of such damages.

Our Products, however, are provided "as is", and we make no guarantees that they will always be safe, secure or error-free, or that they will function without disruptions, delays or imperfections. To the maximum extent permitted by law, we also DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. We do not control or direct what people and others do or say, and we are not responsible for their actions or conduct (whether online or offline) or any content that they share (including offensive, inappropriate, obscene, unlawful and other objectionable content).

4. Indemnity and Release

You agree and undertake to indemnify and to hold harmless Us, our affiliates, successors, agents, assigns, and each of their officers, employees, associates, agents, and representatives from and against any losses, damages, liability, claims, costs, penalty and expenses (including, without limitation, attorneys’ fees) incurred by reason of (i) any breach or alleged breach by You of Your obligations, performance or observance of Your responsibilities, representations, or warranties under these User Terms; (ii) any harm to Our reputation and goodwill; (iii) any claim of by a third party by Your usage of Our intellectual property in a manner not permitted under these User Terms; or (iv) fraud, negligence and misconduct by You or (v) any other acts in violation of these Terms or violations of applicable laws. You shall be liable to indemnify and hold Us harmless against all damages, losses, costs and expenses incurred by Us as a consequence of any complaint from any third party received by Us with respect to Your defective usage of the Website. In addition to the indemnification rights under these User Terms, We shall also be entitled to such other remedies available under Applicable Laws. If you are a resident of another jurisdiction, you waive any comparable statute or doctrine.

5. Dispute Resolution

These User Terms are subject to the laws of India. Any dispute, claim or controversy arising out of or relating to these User Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Service or the Website (collectively, “Disputes”) will be first resolved through mutual discussions lasting for a period of maximum of Fifteen (15) days failing which such dispute will be subject to the exclusive jurisdiction of courts in Goa, India without regard to conflict of law principle.

In the event of any dispute between You and any other users for whatever reasons, We at Interconnect Cafe shall not be responsible nor liable. We at Interconnect Cafe fully reserve the right but have no obligation to become involved in any way with disputes between You and the other Users. Subject to the terms and conditions herein, to the maximum extent, our involvement is limited to mutual resolution of such disputes between You and other Users, at Our sole discretion for a period not exceeding Fifteen (15) days.

You are solely responsible to bear the costs of litigation including attorney fees, should any claims arise out of Your or your wards breach of obligations under these User Terms, Privacy Policy and/or Community Guidelines, all inclusive as amended from time to time.
